Terms and Conditions
These Terms and Conditions ("T&Cs") govern the business relationship between Kunz Global and/or its subsidiaries (hereinafter "we" or "provider") and the customers, business partners and users of this website (hereinafter "customer").
1. Scope
These T&Cs apply to all business relationships, offers, inquiries and contracts entered into via this website or in connection with it with the provider, unless expressly agreed otherwise in writing. Deviating terms of the customer are not recognized unless the provider expressly agrees to their validity in writing.
2. Formation of contract
The information presented on this website regarding Kunz Agrotech and Kunz Sourcing does not constitute a binding offer, but rather a non-binding presentation of our services. A contract is only formed through separate, express written confirmation by the provider (e.g. by email).
3. Prices and payment terms
Unless agreed otherwise on an individual basis, all prices stated are net prices and are subject to statutory taxes, duties and shipping costs. Payment terms are set out in the respective individual contract. In the event of the customer's default of payment, the provider is entitled to withhold further deliveries or services until outstanding claims are settled.
4. Delivery and performance
Delivery and performance dates are non-binding estimates unless expressly designated as "binding". The provider is not liable for delays caused by force majeure, transport disruptions, official measures or other circumstances beyond the provider's control.
5. Liability
The provider is liable without limitation for intent and gross negligence, as well as in accordance with mandatory statutory provisions. Otherwise, the provider's liability is limited to foreseeable damage typical for the contract and is excluded for slight negligence regarding non-material contractual obligations. Liability for indirect damage, lost profit or consequential damage is excluded to the extent permitted by law.
6. Retention of title
Delivered goods remain the property of the provider until all claims arising from the business relationship have been paid in full.
7. Confidentiality
Both parties undertake not to disclose confidential information obtained in the course of the business relationship to third parties without prior consent from the other party.
8. Governing law and jurisdiction
The law of the Oriental Republic of Uruguay applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the place of jurisdiction for all disputes arising from or in connection with this business relationship is the provider's registered office in San José, Uruguay.
9. Severability clause
Should any provision of these T&Cs be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision.
10. Changes to these T&Cs
The provider reserves the right to amend these T&Cs with effect for the future. The version valid at the time the contract was concluded applies to existing contracts.
